Terms and Conditions of Sale | Keystone Supply Group

These terms apply to every quote, order, and sale by Keystone Supply Group LLC (KSG) through KeystoneSupplyGroup.com, by email, by phone, or by purchase order. KSG sells to businesses, healthcare providers, government entities, and other organizations. By requesting a quote, submitting a purchase order, or placing an order, you agree to these terms.

1. Business customers only

KSG sells for business, institutional, and professional use. You represent that you are purchasing on behalf of a business or organization and not as a consumer for personal, family, or household use.

2. Quotes and pricing

Written quotes are valid for 7 days from the quote date unless the quote states otherwise.
Prices are subject to product availability and to change without notice until an order is accepted. Manufacturer price increases, tariff changes, and freight changes that take effect before shipment may be passed through, and we will notify you before shipping if a price changes.
Website prices may differ from quoted contract or bid prices. A written quote or contract controls over website pricing.
Prices exclude sales and use taxes, freight, and handling unless stated.

3. Orders and acceptance

An order is accepted when KSG sends an order acknowledgment or ships the product, whichever comes first. KSG may decline any order, including for licensing, credit, or availability reasons.
Purchase orders are accepted subject to these terms. Any different or additional terms in your purchase order, vendor portal, or other document are rejected unless KSG signs a written agreement accepting them.
Quantities may be adjusted to the manufacturer's standard case or pack size.
Special-order, custom, private-label, and non-stock items cannot be canceled once ordered from the manufacturer.

4. Payment terms

New accounts pay by credit card, ACH, or wire before shipment.
Net 30 terms are available on approved credit. Credit applications are subject to review, and KSG may reduce or revoke credit at any time.
Invoices unpaid after the due date accrue a late charge of 1.5 percent per month or the maximum rate allowed by law, whichever is lower, and KSG may hold shipments until the account is current.
Prices shown are our standard prices for all payment methods. Customers who pay by ACH, wire, or check may take a 3 percent discount on the merchandise total when the invoice is paid within terms. The discount does not apply to freight or tax.
You are responsible for collection costs, including reasonable attorney fees, on past-due accounts.

5. Taxes and exemption certificates

KSG collects sales tax where required. To purchase tax-exempt, provide a completed exemption certificate (Minnesota Form ST3 or the equivalent form for your state) before your order ships. KSG may reject a certificate that is incomplete or does not appear valid. You are responsible for any tax, penalty, or interest resulting from an invalid certificate.

6. Shipping, title, and risk of loss

Unless stated otherwise in writing, all shipments are FOB Edina, Minnesota (shipping point), or FOB the manufacturer's dock for drop-shipped orders. Title and risk of loss pass to you when the carrier accepts the shipment.
Freight is billed at KSG's cost plus handling unless your quote states a different arrangement. Free-freight offers apply only where stated in writing.
Ship dates are estimates. KSG is not liable for delays caused by carriers, manufacturers, weather, or events outside its control.
Inspect shipments on delivery. Note shortages and visible damage on the carrier's delivery receipt and report them to KSG within 48 hours. Concealed damage must be reported within 5 business days with photos.

7. Availability and backorders

Inventory listed on the website reflects our best current information and is not a guarantee of stock. If an item is backordered, KSG will tell you the expected date and you may cancel the backordered line before it ships. KSG does not purchase inventory on speculation for a customer without a signed purchase commitment.

8. Restricted products

Some products are sold only to licensed healthcare facilities, licensed practitioners, laboratories holding a CLIA certificate, or other authorized purchasers. You agree to provide the license, certificate, or attestation KSG requests and represent that the information is accurate. KSG may cancel any order for a restricted product if it cannot verify eligibility. See Product Disclaimers for details.

9. Returns and restocking

Returns follow our Returns Policy. In summary: request a Return Merchandise Authorization (RMA) within 30 days of delivery; product must be unopened, unused, in original packaging, and in resalable condition; stock items may carry a restocking fee of up to 20 percent plus return freight; opened sterile products, diagnostic tests, refrigerated or temperature-sensitive items, pharmaceuticals and harm reduction supplies, opened respirators, and special-order items are not returnable except for KSG error or manufacturer defect.

10. Warranty

Products carry the manufacturer's warranty only, and KSG passes that warranty through to you to the extent the manufacturer allows. KSG will assist with warranty claims but makes no warranty of its own. EXCEPT AS STATED IN THIS SECTION, KSG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Product descriptions, specifications, and images come from manufacturers and may change without notice.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KSG'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM AN ORDER IS LIMITED TO THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. KSG IS NOT LIABLE FOR LOST PROFITS, LOST REVENUE, OR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THEIR POSSIBILITY. Nothing in these terms limits liability that cannot be limited under applicable law.

12. Product use and compliance

You are responsible for selecting products appropriate for your use, for following the manufacturer's instructions for use, for training your staff, and for complying with the laws, licenses, and regulations that apply to your facility and to the products you buy. KSG does not provide medical, clinical, or safety advice.

13. Recalls

If a manufacturer recalls a product, KSG will notify affected customers using the contact information on file and will follow the manufacturer's recall instructions. Keep your contact information current.

14. Government and contract orders

Orders placed under a government contract, GPO agreement, or written supply agreement are governed by that contract where it conflicts with these terms.

15. Force majeure

KSG is not responsible for failure to perform caused by events beyond its reasonable control, including manufacturer shortages, allocation, transportation disruption, government action, epidemics, labor disputes, or natural disasters.

16. Governing law and disputes

These terms are governed by the laws of the State of Minnesota without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute will be brought in the state or federal courts located in Hennepin County, Minnesota, and you consent to that jurisdiction and venue.

17. General

These terms, the applicable quote or order acknowledgment, and the policies referenced here are the entire agreement for each order. If any provision is unenforceable, the rest remains in effect. KSG's failure to enforce a term is not a waiver. KSG may update these terms; the version in effect when an order is accepted governs that order.
